ADDENDUM TO DIGICATION – TUNXIS CUSTOMER SUBSCRIPTION TERMS
1. Opening paragraphs are deleted and replaced with the following: Note: These Customer Subscription Terms ("Terms") govern the subscription by a company, educational institution or agency or other legal entity ("Organization") to our Digi[cation]™ online e-portfolio and learning community software, content and services. In order for an Organization to access and use the administration features of Digication, and obtain or continue Digication for its instructors, students and other individual Users, the authorized Digication Administrator for the IT Department at Tunxis Community College must agree to these Terms. You may accept these Terms by clicking the "Accept" button displayed as part of the registration process. If you do not accept these Terms or are not the authorized Digication Adminstrator for the Collegedo not have the necessary authority to accept these Terms for the IT Department at Tunxis Community College, please click on the "Do Not Accept" button or exit our Website.
The Terms below constitute an legally binding agreement ("Agreement") between the IT Department at Tunxis Community College and Digication, Inc., the provider of Digication. In the Agreement, the terms "you" and "your" refer to your IT Department at Tunxis Community College, and the terms "we", "us" and "our" refer to Digication, Inc., the provider of Digication. For reference, other capitalized terms used in this Agreement are defined in the Definitions section at the end of this Agreement.
2. Section 11 is deleted.
3. Section 13(a) is deleted and replaced with the following: (a) Governing Law. This Agreement and your access and use of Digication shall be governed by the laws of the State of Connecticut, without regard to any choice of law principles that would dictate the application of the laws of another jurisdiction. You hereby agree to the exclusive jurisdiction of the federal and state courts of the State of Connecticut for resolution of any disputes arising from or related to this Agreement or your use of Digication.
